License terms.

This End User License Agreement (“Agreement”) is between you (an individual or the legal entity you represent, “you”) and Sabahattin Kalkan (“Licensor”) for the ModbusTool software, including its updates and documentation (“Software”). By installing or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.

1. Editions

• Free edition: the Software without a license key.
• Pro edition: the Software activated with a valid license key issued by the Licensor. It unlocks the features marked “Pro” in the Software (at the time of writing: register map discovery, point list, long-term recording, RS-485 bus monitor, slave mode and commissioning report).

2. License grant

• Free edition: the Licensor grants you a free, non-exclusive, non-transferable license to use the Free edition for any lawful purpose, including commercial work.
• Pro edition: upon payment, the Licensor grants you a non-exclusive, non-transferable, perpetual license to use the Pro edition on the number of computers (“seats”) stated in your license key. You may use every version of the Software released on or before the “updates until” date in your license key, without time limit. Versions released after that date require a renewed license; older versions keep working. A seat may be moved to another computer if the Software is removed from the previous one.

3. Restrictions

You may not share, publish, resell or sublicense your license key, or use it on more seats than purchased; remove, disable or circumvent the license check, or distribute a modified Software; reverse engineer, decompile or disassemble the Software, except to the extent such restriction is prohibited by applicable law; or rent or lease the Software. The Free edition may be distributed free of charge in unmodified form, without license keys.

4. Purchases, payments and refunds

Orders are processed by our online reseller Paddle.com, which is the Merchant of Record for all orders. Paddle provides all customer service inquiries and handles returns. You may request a refund within 14 days of purchase, without giving a reason; see the refund policy. Refunded license keys are revoked and may stop working in later versions of the Software.

5. Safety and intended use

The Software is a commissioning and diagnostic tool for Modbus devices. It is not a control system and must not be relied upon for the safe operation of any equipment.

• Writing to a device changes its behaviour. Writes are locked by default and must be unlocked deliberately; you are responsible for every write you perform and for verifying its effect on site.
• Do not use the Software to write to, command or simulate life-safety systems (fire detection, fire suppression, voice evacuation, emergency lighting or similar) unless the system owner has authorised it and the applicable standards and procedures are followed.
• In slave mode on a serial line the Software transmits on the bus; make sure no other device uses the same address.

6. No warranty

The Software is provided “as is” and “as available”, without warranty of any kind, express or implied, including fitness for a particular purpose, accuracy of results and non-infringement, to the maximum extent permitted by law.

7. Limitation of liability

To the maximum extent permitted by law, the Licensor is not liable for any indirect, incidental, special or consequential damages, loss of data, production, profit or equipment arising from the use or inability to use the Software. The Licensor’s total liability is limited to the amount you paid for the license in the twelve months before the claim. Nothing in this Agreement limits liability that cannot be limited under applicable law, including consumer rights.

8. Privacy

The Software works offline. It does not send usage data, device data or your license key anywhere. License keys are verified on your computer. See the privacy policy.

9. Termination

This Agreement ends automatically if you breach it. On termination you must stop using the Pro edition and delete your license key. Sections 5 to 7 and 10 survive termination.

10. Governing law

This Agreement is governed by the laws of the Republic of Azerbaijan. The courts of Baku have jurisdiction, unless mandatory law gives you the right to bring proceedings elsewhere. Mandatory consumer protection laws of your country of residence remain unaffected.
